Welcome to Credex Training. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("you," "your," "Student," "User") and Credex Training ("we," "us," "our," "Credex") governing your access to and use of our website, platform, training services, and all related services (collectively, the "Services").

Please read these Terms carefully before using our Services. By accessing or using our website, creating an account, enrolling in any course, or otherwise engaging with our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

1. Acceptance of Terms

By registering for an account on our platform, enrolling in any training course, participating in our training programs, or using any part of our Services, you represent and warrant that you have the legal capacity to enter into this binding agreement. If you are accessing or using our Services on behalf of an organization or company, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" in these Terms will refer to both you individually and the organization you represent.

These Terms apply to all users of our Services, including without limitation users who are browsers, students, instructors, administrators, and any other individuals who access or use the Services. Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Services

Credex Training is a professional training organization that provides comprehensive training courses across various professional disciplines including but not limited to quality management, project management, data management, professional development, and other specialized areas. Our Services include:

Course Enrollment Platform: An online platform where you can browse available courses, view course descriptions and details, enroll in training programs, and manage your training schedule and preferences.

Multiple Training Delivery Modes: We offer flexible training delivery options to accommodate different learning preferences and circumstances. These include in-person physical training sessions conducted at various locations across Kenya and internationally, virtual online training sessions conducted through secure video conferencing platforms, self-paced learning options that allow you to complete coursework on your own schedule, and fly-me-a-trainer services where we can arrange for an instructor to travel to your organization's location to conduct customized training.

Training Materials and Resources: Access to course materials, presentations, handouts, reference documents, and other educational resources necessary for completing your chosen training programs.

Certification Services: Upon successful completion of training courses and fulfillment of all course requirements, we provide certificates of completion that verify your participation and achievement in our training programs.

Student Portal: A personalized account dashboard where you can view your enrollment history, access your certificates, manage your profile information, and track your training progress.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

3. Account Registration and Security

3.1 Account Creation

To access most features of our Services, you must create an account. When you register for an account, you agree to provide accurate, current, and complete information about yourself as prompted by our registration form. You must keep your account information up to date and notify us promptly of any changes to your contact information, name, or other relevant details.

During the registration process, you will be required to provide your first name, last name, email address, phone number, and create a password. You will also create a username during the onboarding process. You may optionally provide additional information such as a profile picture, organization name, organization website, and information about how you heard about us.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree not to share your account credentials with any third party and to take reasonable steps to prevent unauthorized access to your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

You are fully responsible for all activities that occur under your account, whether or not you authorized such activities. We will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3.3 Account Accuracy and Truthfulness

You represent and warrant that all information you provide to us is accurate, truthful, and not misleading. You agree not to create an account using false information, impersonate another person or entity, or create multiple accounts for improper purposes. We reserve the right to refuse registration, suspend, or terminate accounts that we believe violate these Terms or are being used for fraudulent or inappropriate purposes.

3.4 Account Termination

You may terminate your account at any time by contacting us. Upon termination, you will lose access to your account and any associated benefits. However, your enrollment records, certificates, and transaction history will be retained in accordance with our data retention policies and legal obligations. Please note that terminating your account does not automatically entitle you to a refund of any fees paid for courses or enrollments.

4. Course Enrollment and Registration

4.1 Enrollment Process

To enroll in a course, you must select a course from our catalog, choose your preferred training location or virtual attendance option, select the number of participants if enrolling multiple people, choose your preferred training dates using our calendar selection tool, and confirm your enrollment details. Once you submit your enrollment, an enrollment record will be created in our system.

Your enrollment is not confirmed until you complete the payment process or we confirm your enrollment through alternative arrangements. We reserve the right to refuse or cancel enrollments at our discretion, including but not limited to situations where courses are fully booked, dates are no longer available, or we have reason to believe the enrollment violates these Terms.

4.2 Enrollment on Behalf of Others

If you are enrolling on behalf of other individuals, such as employees of your organization, you represent and warrant that you have the authority to enroll those individuals and bind them to these Terms. You are responsible for ensuring that all enrolled participants receive and understand these Terms and our policies. The organization or individual creating the enrollment is responsible for all fees associated with the enrollment.

Our administrators and user managers may create enrollments on behalf of students who contact us through social media or other channels, or who require assistance with the enrollment process. In such cases, we will confirm enrollment details with you before finalizing the registration.

4.3 Course Prerequisites and Eligibility

Some courses may have prerequisites, minimum experience requirements, or other eligibility criteria. It is your responsibility to ensure you meet all prerequisites before enrolling in a course. If you enroll in a course for which you do not meet the prerequisites, we reserve the right to deny your participation or recommend alternative courses more suitable to your experience level.

4.4 Course Changes and Cancellations by Credex

We reserve the right to modify course content, change instructors, alter training schedules, or cancel courses if necessary due to insufficient enrollment, instructor availability, force majeure events, or other circumstances beyond our control. If we cancel a course for which you have enrolled and paid, we will offer you the option to transfer your enrollment to another available date or course, receive a credit toward future training, or receive a full refund of fees paid.

We will make reasonable efforts to notify you of significant course changes or cancellations as far in advance as possible. However, we are not liable for any indirect, incidental, or consequential damages resulting from course changes or cancellations, including but not limited to travel expenses, accommodation costs, or lost business opportunities.

5. Fees, Payment, and Refunds

5.1 Course Fees

All course fees are listed on our website in United States Dollars (USD). The applicable course fee is determined by your selected training location and the number of participants enrolled. The fee displayed during the enrollment process is the fee you agree to pay, and this amount is locked in your enrollment record as the agreed amount.

Course fees may change from time to time without prior notice. However, once you have created an enrollment and the agreed amount has been recorded, that amount will not change even if we subsequently adjust our pricing. This protects you from price increases between the time you enroll and the time you complete payment.

5.2 Payment Terms

Payment for course fees is processed through our secure payment gateway partner, Paystack. When you choose to make a payment, you will be redirected to Paystack's secure payment interface where you can complete the transaction using your preferred payment method. We accept various payment methods as supported by Paystack, which may include credit cards, debit cards, mobile money, and bank transfers depending on your location.

Payment must be received in full before you can access course materials or attend training sessions, unless alternative arrangements have been explicitly agreed upon in writing. When you complete a payment, a transaction record is created and linked to your enrollment.

5.3 Partial Payments and Payment Plans

In some circumstances, we may agree to accept payment in multiple installments. If you arrange a payment plan with us, you agree to make all scheduled payments by their due dates. Failure to make timely payments may result in suspension of access to course materials, denial of admission to training sessions, or cancellation of your enrollment. Any payment plan arrangements must be agreed upon in writing before the training start date.

5.4 Late Payments

If payment is not received by the agreed-upon date, we reserve the right to charge late payment fees, deny access to training sessions, or cancel your enrollment. If your enrollment is cancelled due to non-payment, you will not be entitled to a refund of any partial payments already made, and you may be required to pay the full outstanding balance.

5.5 Refund Policy

We understand that circumstances may change, and you may need to cancel your enrollment. Our refund policy is as follows:

Refunds are only provided to students who have paid for a course but are unable to attend the training in one way or another. Our refund policy varies based on your training delivery mode and when you cancel:

Booking Deadlines: Please note that for physical in-person training, you must book at least 7 days before the training start date. For virtual online training, you must book at least 2 days before the training start date. These booking deadlines also apply to our cancellation and refund policy timeframes.

For Physical In-Person Training:

  • Cancellations More Than 7 Days Before Training Start Date: If you cancel your enrollment more than 7 days before your scheduled training start date, you are entitled to a partial refund. Due to transactional and administration costs already incurred, we will deduct an administrative fee of 30% of the total course fee or $200 USD, whichever is greater, from your refund amount.
  • Cancellations Less Than 7 Days Before Training Start Date: If you cancel your enrollment less than 7 days before your scheduled training start date, no refund will be provided due to the proximity to the training date and the costs we have already incurred in preparing for your participation, including venue arrangements, materials preparation, and instructor scheduling. However, we may offer you the option to transfer your enrollment to a future training session, subject to availability and a transfer fee.

For Virtual Online Training:

  • Cancellations More Than 2 Days Before Training Start Date: If you cancel your enrollment more than 2 days before your scheduled training start date, you are entitled to a partial refund. Due to transactional and administration costs already incurred, we will deduct an administrative fee of 20% of the total course fee or $100 USD, whichever is greater, from your refund amount.
  • Cancellations Less Than 2 Days Before Training Start Date: If you cancel your enrollment less than 2 days before your scheduled training start date, no refund will be provided due to the proximity to the training date and the preparation costs already incurred. However, we may offer you the option to transfer your enrollment to a future training session, subject to availability and a transfer fee.

No-Shows: If you fail to attend a training session without prior notice or do not participate in virtual sessions, no refund will be provided.

Post-Attendance Refunds: Once you have attended any portion of the training, no refunds will be provided for any reason, including if you choose to discontinue the training partway through. By attending the training, you have received the service for which you paid.

Important Note: Refunds are strictly limited to situations where you have paid but are unable to attend or choose to cancel before attending. If you attend the training course, complete it, and subsequently decide you were not satisfied, no refund will be provided. We encourage you to carefully review course descriptions and contact us with any questions before enrolling.

5.6 Refund Processing

All refund requests must be submitted in writing via email to our customer support address. Approved refunds will be processed within 14-30 business days of approval. Refunds will be issued to the original payment method used for the transaction. Please note that it may take additional time for the refund to appear in your account depending on your financial institution's processing times.

5.7 Transfers to Alternative Dates

If you need to change your training dates, you may request a transfer to an alternative session subject to availability. Transfer requests must be made at least 5 days before your scheduled training start date. Transfers may be subject to a transfer fee, and if the new training session has a different fee structure, you may be required to pay the difference.

5.8 Group Discounts and Special Pricing

We may offer group discounts or special pricing for organizations enrolling multiple participants or for other promotional purposes. Any special pricing or discounts are subject to specific terms and conditions that will be communicated to you at the time of enrollment. Special pricing cannot be combined with other offers unless explicitly stated.

6. Training Participation and Conduct

6.1 Attendance Requirements

To receive a certificate of completion, you must attend all scheduled training sessions and complete all required coursework or assessments. For in-person training, you must attend the physical sessions at the designated location. For virtual training, you must join the online sessions through our designated video conferencing platform at the scheduled times.

If you miss training sessions due to illness, emergencies, or other unavoidable circumstances, please contact us as soon as possible. We may be able to arrange alternative arrangements such as makeup sessions, access to recorded materials where available, or transfer to a future training session, though these accommodations are provided at our discretion and may be subject to additional fees.

6.2 Code of Conduct

You agree to conduct yourself professionally and respectfully at all times when participating in our training programs and interacting with our platform, instructors, staff, and fellow students. Specifically, you agree not to engage in any conduct that is harassing, threatening, abusive, defamatory, obscene, or otherwise objectionable, disrupt training sessions or interfere with other students' learning experiences, discriminate against or show prejudice toward any individual based on race, ethnicity, nationality, religion, gender, sexual orientation, age, disability, or any other protected characteristic, use our Services for any illegal purpose or in violation of any applicable laws or regulations, attempt to gain unauthorized access to our systems, other users' accounts, or any part of our Services, or share inappropriate, offensive, or harmful content through our platform or during training sessions.

We reserve the right to remove any participant from a training session or suspend or terminate any account if we determine, in our sole discretion, that the user has violated this code of conduct or otherwise engaged in inappropriate behavior. In such cases, no refund will be provided.

6.3 Recording and Photography

Unless explicitly authorized by us in writing, you may not record, photograph, or otherwise capture audio, video, or images of training sessions, instructors, course materials, or other participants. This includes but is not limited to screen recordings of virtual sessions, audio recordings of in-person sessions, and photographs of training materials or presentation slides.

We may occasionally record training sessions for quality assurance, training purposes, or to provide recorded materials to students who miss sessions. If we record a session, we will inform all participants before recording begins. By participating in a recorded session, you consent to being recorded and to our use of such recordings in accordance with our Privacy Policy.

6.4 Virtual Training Requirements

For virtual training sessions, you are responsible for ensuring you have adequate internet connectivity, a suitable device with camera and microphone capabilities, and a quiet, professional environment from which to participate. Technical difficulties on your end do not entitle you to a refund or makeup session, though we will make reasonable efforts to provide alternative access where possible.

You agree to test your technology setup before training sessions begin and to contact us promptly if you experience technical issues. You must ensure your device meets the minimum requirements for our video conferencing platform.

7. Intellectual Property Rights

7.1 Our Intellectual Property

All content, materials, and resources provided through our Services, including but not limited to course materials, presentations, videos, handouts, training documents, text, graphics, logos, images, software, data compilations, and the design and layout of our website and platform (collectively, "Our Content"), are owned by Credex Training or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Our Content is provided to you solely for your personal, non-commercial use in connection with your participation in our training programs. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Our Content solely for your personal educational purposes during and after your training.

7.2 Restrictions on Use

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of Our Content, except as explicitly permitted by these Terms. Specifically, you may not use any of Our Content for commercial purposes or for the benefit of any third party, distribute or sell any of Our Content to third parties, modify or create derivative works based on Our Content, remove any copyright, trademark, or other proprietary notices from Our Content, use Our Content to create or deliver training programs that compete with our Services, or reverse engineer, decompile, or disassemble any software or technology used in our Services.

7.3 Personal Study and Reference

You may download and retain copies of course materials provided to you for your personal study and reference purposes. However, you may not share, distribute, or make these materials available to others who have not participated in the relevant training course. Any materials provided to you remain our property, and your right to use them is subject to these Terms.

7.4 Trademarks

The Credex Training name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Credex Training or our affiliates or licensors. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans mentioned on our Services are the trademarks of their respective owners.

7.5 Copyright Infringement Claims

We respect the intellectual property rights of others. If you believe that any content on our Services infringes your copyright, please contact us with detailed information about the alleged infringement, including identification of the copyrighted work, identification of the infringing material and its location on our Services, your contact information, and a statement of good faith belief that the use is not authorized by the copyright owner.

8. User-Generated Content

8.1 Content You Provide

Our Services may allow you to submit, post, or share content such as profile information, comments during training sessions, responses to exercises or assessments, feedback forms, and other communications (collectively, "User Content"). You retain ownership of any intellectual property rights in User Content that you submit. However, by submitting User Content to our Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with providing and improving our Services.

8.2 Responsibility for User Content

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to submit your User Content, your User Content does not violate any third-party rights including intellectual property rights or privacy rights, and your User Content complies with these Terms and all applicable laws.

We do not endorse any User Content or any opinion, recommendation, or advice expressed therein. We are not responsible for User Content, and we do not have any obligation to monitor, edit, or remove User Content. However, we reserve the right to remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

9. Certificates and Credentials

9.1 Certificate Issuance

Upon successful completion of a training course and fulfillment of all attendance and participation requirements, we will issue you a certificate of completion. Certificates are typically issued within 7-14 business days after the conclusion of training. Certificates will be made available in digital format through your student portal account.

9.2 Certificate Validity

Our certificates verify that you participated in and completed our training program. However, our certificates do not represent professional licensure, accreditation, or certification by regulatory bodies unless explicitly stated. It is your responsibility to determine whether our training meets the requirements for any professional certification, continuing education credits, or other credentials you are seeking.

9.3 Certificate Verification

We maintain records of all certificates issued and may provide certificate verification services to third parties such as employers or professional organizations upon request. We will verify only that you completed the training course on the specified dates. We do not provide assessments of your performance or endorsements of your competency.

9.4 Revocation of Certificates

We reserve the right to revoke certificates if we discover that they were obtained through fraudulent means, issued in error, or if the recipient violated these Terms in a manner that undermines the integrity of the training program. If your certificate is revoked, you must cease representing that you completed the training.

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.

Please review our Privacy Policy carefully to understand how we handle your personal information. If you do not agree with our Privacy Policy, you should not use our Services.

11. Third-Party Services and Links

11.1 Payment Processing

We use third-party payment gateway providers to process payments. When you make a payment, you will be redirected to the payment provider's secure payment interface. Your payment information is collected and processed by the payment provider, not by us. The payment provider's handling of your payment information is governed by their privacy policy and terms of service, which you should review.

We are not responsible for the security, accuracy, or performance of third-party payment processing services. Any issues with payment processing should be directed to both us and the payment provider.

11.2 Video Conferencing Services

We use third-party video conferencing platforms to deliver virtual training sessions. Your participation in virtual sessions is subject to the video conferencing provider's terms of service and privacy policy. We are not responsible for the availability, security, or performance of third-party video conferencing services.

11.3 Third-Party Links

Our Services may contain links to third-party websites or services that are not owned or controlled by Credex Training. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any third parties or their websites.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

12. Disclaimers and Limitations of Liability

12.1 Service Provided "As Is"

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that our Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that our Services or the servers that make them available are free of viruses or other harmful components. We do not warrant or make any representations regarding the use or the results of the use of our Services in terms of their correctness, accuracy, reliability, or otherwise.

12.2 No Professional Advice

The information and training provided through our Services are for educational purposes only and should not be construed as professional advice specific to your individual circumstances. Our training courses provide general knowledge and skills development, but they do not substitute for professional consultation or advice tailored to your specific situation.

You should not rely solely on information learned in our training courses to make professional decisions. Always consult with qualified professionals regarding specific issues in your field. We are not responsible for any decisions you make based on information obtained through our training programs.

12.3 Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Credex Training, its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use our Services, any conduct or content of any third party on our Services, any content obtained from our Services, or unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort including negligence, or any other legal theory, whether or not we have been informed of the possibility of such damage.

Our total liability to you for all claims arising out of or relating to these Terms or your use of our Services shall not exceed the amount you paid to us in the twelve months preceding the claim, or one hundred dollars ($100 USD), whichever is greater.

12.4 Career Outcomes

While we strive to provide high-quality training that enhances your professional skills and knowledge, we make no guarantees regarding employment, promotion, salary increases, or other career outcomes that may result from completing our training courses. Your professional success depends on many factors beyond the training we provide, and we cannot be held responsible for your career trajectory or outcomes.

13. Indemnification

You agree to defend, indemnify, and hold harmless Credex Training, its affiliates, and their respective directors, officers, employees, agents, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from your use of our Services, your violation of these Terms, your violation of any third-party rights including intellectual property rights or privacy rights, or any harmful or unlawful conduct by you or anyone using your account.

This indemnification obligation will survive the termination of these Terms and your use of our Services.

14. Term and Termination

14.1 Term

These Terms commence on the date you first access or use our Services and continue until terminated in accordance with these Terms.

14.2 Termination by You

You may terminate your account at any time by contacting us. If you terminate your account, you will lose access to your account and any associated services. You will remain responsible for any outstanding fees or obligations incurred before termination.

14.3 Termination by Us

We reserve the right to suspend or terminate your account and your access to our Services at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include but are not limited to violation of these Terms, engaging in fraudulent or illegal activities, failure to pay fees when due, conduct that we determine is harmful to other users or to us, or extended periods of inactivity.

14.4 Effect of Termination

Upon termination of your account for any reason, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability. Termination does not relieve you of any obligations to pay fees for services already provided or enrollments already created.

15. Modification of Terms

We reserve the right to modify or update these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by posting the updated Terms on our website with a new "Last Updated" date and may also send you notice via email to the address associated with your account or through a prominent notice on our platform.

Your continued use of our Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using our Services. It is your responsibility to review these Terms periodically to stay informed of any changes.

16.1 International Service Delivery

Credex Training is based in Kenya and operates internationally across multiple regions. We actively provide training services in the following locations:

Kenya: Nairobi, Mombasa, Kisumu, Nakuru, Naivasha

East Africa: Kampala (Uganda), Kigali (Rwanda), Arusha (Tanzania), Dar es Salaam (Tanzania), Zanzibar (Tanzania)

West Africa: Lagos (Nigeria), Abuja (Nigeria), Accra (Ghana)

Southern Africa: Cape Town (South Africa), Pretoria (South Africa), Johannesburg (South Africa)

Middle East: Dubai (UAE), Riyadh (Saudi Arabia)

Virtual Training: We also offer virtual online training sessions accessible from any location with adequate internet connectivity.

When you access our Services or participate in training in any of these locations, you acknowledge that you are responsible for compliance with all applicable local laws and regulations in your jurisdiction. If you access our Services from a location outside the regions listed above, you do so at your own initiative and are responsible for ensuring compliance with local laws and regulations.

16.2 Governing Law

These Terms and your use of our Services shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of our Services shall be brought exclusively in the courts located in Nairobi, Kenya, and you consent to the personal jurisdiction of such courts.

16.3 International Users

If you are accessing our Services from outside Kenya, you acknowledge that you are transferring personal information to Kenya and you consent to that transfer. You also acknowledge that Kenya's data protection laws may be different from the laws of your country.

17. Dispute Resolution

17.1 Informal Resolution

If you have any dispute or claim arising out of or relating to these Terms or our Services, you agree to first contact us and attempt to resolve the dispute informally by discussing it with our customer support team. We will work in good faith to resolve any disputes amicably.

17.2 Arbitration

If we cannot resolve a dispute informally within sixty (60) days, any remaining dispute shall be resolved through binding arbitration in accordance with the Arbitration Act of Kenya. The arbitration shall be conducted in Nairobi, Kenya, in the English language, by a single arbitrator appointed in accordance with the rules of the Chartered Institute of Arbitrators (Kenya Branch).

The arbitrator's decision shall be final and binding on both parties. Each party shall bear its own costs of arbitration, unless the arbitrator determines otherwise. Nothing in this section prevents either party from seeking injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

17.3 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes or labor disputes, equipment or technology failures, power outages, or telecommunications failures.

If a force majeure event occurs that prevents us from delivering scheduled training, we will make reasonable efforts to reschedule the training or offer alternative arrangements. You will be notified as soon as reasonably possible of any force majeure event affecting your training.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent to the greatest extent possible. If such modification is not possible, the provision shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, and the remaining provisions shall continue in full force and effect.

20. Waiver

No waiver by Credex Training of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

All waivers must be in writing and signed by an authorized representative of Credex Training to be effective.

21. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. We may freely assign or transfer these Terms and our rights and obligations hereunder to any third party without restriction or notice to you.

22. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on our Services, constitute the entire agreement between you and Credex Training regarding your use of our Services and supersede all prior agreements, understandings, and communications, whether written or oral, regarding the subject matter hereof.

No course catalog, marketing material, verbal statement, or other communication shall modify or supplement these Terms unless explicitly incorporated by written amendment signed by an authorized representative of Credex Training.

23. Notices

All notices to you under these Terms may be delivered via email to the address associated with your account, through a posting on our website or platform, or through other reasonable means. You are responsible for keeping your email address and contact information current in your account settings.

Notices to us should be sent via email to our designated customer support address or by registered mail to our registered office address in Kenya. Notices shall be deemed given when delivered if sent by email, or three (3) business days after mailing if sent by registered mail.

24. Language

These Terms are provided in English. Any translation of these Terms into other languages is provided for convenience only. In the event of any inconsistency or conflict between the English version and any translation, the English version shall prevail.

25. Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or franchise relationship between you and Credex Training. You have no authority to bind Credex Training or to make any representation or commitment on our behalf.

The relationship between Credex Training and students is that of an educational service provider and client. Completion of our training courses does not create an employment relationship or any ongoing obligation on our part beyond the delivery of the training services and issuance of certificates as described in these Terms.

26. Feedback and Suggestions

We welcome your feedback and suggestions about our Services. If you provide us with any feedback, suggestions, ideas, or other information regarding our Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, reproduce, modify, create derivative works from, and otherwise exploit such Feedback for any purpose, including improving our Services, creating new services, or any other commercial or non-commercial purpose.

You represent and warrant that any Feedback you provide does not violate any third-party rights and that you have all rights necessary to grant us the license described above.

27. Survival

The following sections shall survive the termination or expiration of these Terms: Sections 5 (Fees, Payment, and Refunds - with respect to obligations incurred before termination), 7 (Intellectual Property Rights), 8 (User-Generated Content), 12 (Disclaimers and Limitations of Liability), 13 (Indemnification), 16 (Geographic Restrictions and Governing Law), 17 (Dispute Resolution), and any other provisions that by their nature should survive termination.
